1. Introduction

Welcome to Tendre ("we", "us", "our").

These Terms of Use ("Terms") govern your access to and use of www.tendre.com (the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

2. About Tendre

Tendre is a digital marketplace connecting businesses with suppliers across the real estate, workplace, and office procurement ecosystem.

The Platform provides tools including (but not limited to):

- Supplier directories and searchable profiles

- Direct messaging and communications

- Tender creation, management, and response workflows

- Project planning and programme tools

- Market benchmarking and cost modelling

- AI-powered insights and recommendations

- Staff and commute analysis tools

- Document and data management features

Tendre is not a party to any contract, appointment, or transaction formed between users of the Platform.

3. Eligibility

You may use the Platform only if:

- You are acting in a business or professional capacity

- You are at least 18 years of age

- You have the authority to bind your organisation to these Terms

4. Account Registration

You agree to:

- Provide accurate, complete, and up-to-date information when registering

- Maintain the confidentiality of your login credentials

- Be responsible for all activity that occurs under your account

- Notify Tendre promptly if you become aware of any unauthorised use of your account

We reserve the right to suspend or terminate accounts where inaccurate, misleading, or fraudulent information is provided.

5. Acceptable Use

You agree to use the Platform lawfully, fairly, and in good faith.

You must not:

5.1 Misuse the Platform

- Use the Platform for any unlawful, fraudulent, or harmful purpose

- Attempt to gain unauthorised access to Platform systems, accounts, or data

- Interfere with the operation, security, or integrity of the Platform

- Introduce malware, scripts, or automated tools without prior written consent from Tendre

5.2 Submit False or Misleading Information

- Create or submit fictitious, speculative, or non-genuine projects or tenders

- Misrepresent your identity, organisation, seniority, or authority

- Upload false case studies, testimonials, credentials, or project references

5.3 Abuse the Marketplace

- Use the Platform to harvest contacts, data, or leads without genuine commercial intent

- Send spam, unsolicited communications, or irrelevant messages to other users

- Circumvent Platform processes to bypass fees, subscription requirements, or access controls

5.4 Harm Other Users

- Engage in harassment, discrimination, or abusive conduct towards other users

- Unfairly damage the reputation or commercial interests of other users

- Use the Platform in any way that undermines trust, integrity, or safety

6. Supplier-Specific Obligations

Suppliers agree to:

- Provide accurate, truthful, and up-to-date profile information including credentials, case studies, and service descriptions

- Only respond to tenders they are genuinely capable of delivering to the required standard

- Maintain professional conduct in all communications with Occupiers and Tendre

- Not manipulate rankings, search visibility, engagement metrics, or reviews

7. Occupier-Specific Obligations

Occupiers agree to:

- Create only genuine, bona fide projects or tenders with reasonable commercial intent

- Provide sufficient, accurate information to enable meaningful supplier responses

- Engage with suppliers professionally and in good faith

- Not use the Platform solely for research, benchmarking, or price discovery without clear disclosure to suppliers

8. Content and Data

8.1 Your Content

You retain ownership of content you upload to the Platform (for example, profiles, case studies, project briefs, tender documents).

You grant Tendre a worldwide, non-exclusive, royalty-free licence to:

- Host, store, display, and distribute such content on the Platform

- Use it to operate, improve, personalise, and promote the Platform

- Generate aggregated, anonymised insights and analytics

8.2 Responsibility for Content

You are solely responsible for the accuracy, completeness, and legality of all content you submit.

We reserve the right to remove or modify content that:

- Breaches these Terms or applicable law

- Is misleading, inappropriate, or harmful

- Damages the integrity or trust of the Platform

9. Platform Integrity and Enforcement

To protect the integrity of the marketplace, Tendre reserves the right to:

- Monitor usage and activity on the Platform

- Investigate suspected breaches of these Terms

- Remove or modify content without notice

- Suspend or terminate accounts

- Restrict access to features or the Platform as a whole

This includes but is not limited to action taken in response to:

- Fake or non-genuine tenders or projects

- Misleading supplier profiles or credentials

- Abuse of the messaging or lead generation systems

- Non-genuine or repeated misuse of free-tier features

Tendre's decisions in enforcement matters are final where necessary to protect the Platform, its users, and its commercial integrity.

10. Payments and Subscriptions

Where applicable:

- Supplier subscriptions are billed in accordance with the selected plan and current pricing

- Subscription fees are non-refundable unless required by applicable law

- Tendre may update pricing with reasonable prior notice

- Failure to pay may result in suspension, downgrade, or termination of services

Free-tier features available to Occupiers and Owners (including the Staff & Commute Analysis tool) are subject to usage limits as specified on the Platform, and Tendre reserves the right to introduce fees for such features with reasonable notice.

11. No Guarantee of Outcomes

Tendre does not guarantee:

- The award of any work, contract, or appointment

- The quality, suitability, reliability, or performance of any supplier or occupier

- The accuracy, completeness, or suitability of any benchmarking data, cost estimate, or AI-generated output

- The number or quality of responses to any tender or project

Users engage with one another entirely at their own risk.

12. Limitation of Liability

To the fullest extent permitted by law:

- Tendre shall not be liable for any indirect, incidental, special, or consequential loss

- We are not responsible for disputes between users of the Platform

- Our total liability to you shall not exceed the amount paid by you to Tendre in the 12 months preceding the claim

- Nothing in these Terms excludes liability that cannot be excluded under applicable law (including liability for fraud or death or personal injury caused by negligence)

13. Termination

You may stop using the Platform at any time by closing your account.

We may suspend or terminate your account immediately if:

- You breach these Terms

- You misuse the Platform or its features

- Your activity poses a risk to other users, the Platform, or Tendre's business

Upon termination:

- Your access to the Platform will be removed

- Your data will be handled in accordance with the Privacy Policy

14. Intellectual Property

All Platform content (excluding user-submitted content), including design, branding, code, features, and technology, is owned by Tendre or its licensors.

You may not:

- Copy, reproduce, or exploit any part of the Platform without prior written consent

- Reverse engineer or attempt to replicate Platform functionality

- Use Tendre's branding, trademarks, or trade dress without authorisation

15. Changes to These Terms

We may update these Terms from time to time. The date at the top of this document indicates when they were last revised.

Continued use of the Platform following any update constitutes acceptance of the revised Terms. Where changes are material, we will endeavour to provide notice via the Platform.

16. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by local law.
